2. Mediation: If negotiation fails within 30 days, the parties shall attempt to resolve the dispute through non‑binding mediation administered by the American Arbitration Association (AAA). The mediation will be conducted in the United States, and the mediator’s decision will be final and binding.
3. Arbitration: If mediation does not resolve the dispute, the parties agree to submit the dispute to binding arbitration under the AAA’s Commercial Arbitration Rules. The arbitration will be conducted in the United States, and the arbitrator’s decision will be final and binding. Judgment on the arbitration award may be entered in any court having jurisdiction.

Notwithstanding the foregoing, either party may seek provisional or injunctive relief in a court of competent jurisdiction to protect confidential or proprietary information.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. The parties hereby submit to the exclusive jurisdiction of the federal and state courts located in the United States for the resolution of any disputes arising out of or related to these Terms.
